1. General
1.1. This Offer Agreement (hereinafter referred to as "Agreement") is a formal offer by Jaaj.Club (hereinafter referred to as "Site"), a company incorporated under the laws of Canada, to any person or entity (hereinafter referred to as "Seller") to enter into an Agreement on the terms and conditions set out below, in accordance with the provisions of the Quebec Contractual Relations Act.
1.2 Acceptance (acceptance) of the terms and conditions of this Contract by the Seller shall be effected by registering on the Site and downloading the book for sale. From the moment of acceptance of this Agreement, the Seller shall be deemed to have concluded an agreement with the Platform on the terms and conditions set forth in this Agreement.
1.3. The Seller undertakes to comply with the terms and conditions of this Agreement, and the Platform undertakes to provide the Seller with the opportunity to use the functionality of the Platform for the sale of books.
2. Subject of the Agreement
2.1. The Platform provides the Seller with the opportunity to place its books (printed and electronic) on the Platform for their sale to users.
2.2. The Seller undertakes to comply with the terms and conditions of this Agreement, as well as the rules and requirements of the Platform, established for the use of the Platform.
2.3. For the use of the Platform's services, the Seller undertakes to pay a commission from each book sold.
3. Rights and obligations of the Marketplace
3.1 The Marketplace undertakes:
3.1.1 Provide the Seller with access to the functionalities of the Marketplace for placing his books.
3.1.2 Provide support and ensure uninterrupted functioning of the Marketplace, except in cases of technical works, force majeure and other cases stipulated by law.
3.1.3. Ensure confidentiality of information provided by the Seller, except for cases stipulated by the legislation and this Agreement.
3.2. The Platform has the right to:
3.2.1. Unilaterally change the terms and conditions of this Agreement. The new edition of the Agreement shall come into force from the moment of its placement on the Platform.
3.2.2. Reject the placement of the book on the Platform, if the content of the book or the actions of the Seller violate the current legislation, the rules of the Platform or the terms of this Agreement.
3.2.3. Charge the Seller a commission for the sale of each book in accordance with the terms of this Agreement.
4. Rights and obligations of the Seller
4.1. The Seller undertakes:
4.1.1. To provide true and complete information about the books to be sold through the Site.
4.1.2. Observe the requirements of the legislation concerning copyright and do not violate the rights of third parties.
4.1.3. Pay a commission for the sale of each book according to the terms of this Agreement.
4.1.4. In case of sale of printed books, independently organize and provide delivery to buyers, including all relevant expenses.
4.1.5. In case of sale of electronic books, independently upload files to the Site in Epub format or other formats supported by the Site.
4.2 The Seller has the right to:
4.2.1 Use the functionality of the Site to place his books and receive information about sales.
4.2.2 Receive payments from book sales minus the Site's commission.
5. Commission and settlement procedure
5.1. The Platform's commission is one (1) Canadian dollar for each copy of the book (print or electronic) sold, which is automatically deducted for each sale.
5.2. Payment to the Seller for the sale of books is made through the PayPal payment system to the account specified by the Seller.
5.3. In case of selling printed books, the Seller is responsible for organizing the delivery of the book to the buyer and covers all relevant costs.
6. Liability of the parties
6.1. The Platform is not liable for any losses incurred by the Seller as a result of using the Platform, if such losses are caused by the Seller's own actions or violation of the terms of this Agreement.
6.2. The Seller is responsible for the accuracy of the information provided, as well as for the observance of copyrights and rights of third parties to the published books.
6.3 In case the Seller violates the terms and conditions of this Agreement, the Platform has the right to suspend the provision of services and/or unilaterally terminate the Agreement.
7. Final provisions
7.1. This Agreement is public and is valid from the moment of its acceptance by the Seller.
7.2. All disputes arising in connection with this Agreement shall be settled through negotiations, and in case of failure to reach an agreement - in court in accordance with the laws of the country of registration of the Platform.
7.3. This Agreement shall be governed by the laws of Canada.
7.4. The Seller, by accepting the terms of this Agreement, confirms that he is familiarized with and agrees to its terms and conditions, and undertakes to comply with them.
